Grid Vision Live — Terms of Service

Welcome to Grid Vision Live (“Grid Vision,” “we,” “us,” or “our”). By accessing or using our platform, website, desktop application, browser overlays, and related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Service.

1. Acceptance of Terms

By creating an account, signing in via iRacing OAuth, downloading our desktop application, or otherwise using the Service, you affirm that you are at least 13 years of age (or the minimum age required in your jurisdiction) and that you have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. User Accounts

3.1 Registration. To access certain features, you must create an account using iRacing OAuth2 authentication. Your iRacing Customer ID will be linked to your Grid Vision account. You are responsible for all activity that occurs under your account.

3.2 Account Security. You must not share your login credentials with others. You must promptly notify us of any unauthorized use of your account. We are not liable for losses arising from unauthorized use of your account.

3.3 Account Types. Users may hold different roles including but not limited to: viewer, driver, producer, commentator, league owner, or administrator. Each role may have different access levels and capabilities within the Service. Roles are assigned at our discretion and may be modified at any time.

3.4 Temp Accounts. In some cases, temporary accounts may be auto-created for drivers appearing in race data who have not yet registered. These accounts may later be claimed by the actual driver. We reserve the right to manage or remove unclaimed temporary accounts.

4. User Content & Conduct

4.1 User Content. You retain ownership of content you upload (photos, bios, team logos, banners, etc.), but you grant Grid Vision a worldwide, non-exclusive, royalty-free, transferable license to use, display, reproduce, and distribute your content in connection with the Service, including promotional materials and broadcasts.

5.1 Third-Party Service. The Service integrates with iRacing, a product of iRacing.com Motorsport Simulations, LLC. Your use of iRacing is subject to iRacing’s own terms and conditions. Grid Vision is not affiliated with, endorsed by, or sponsored by iRacing.com Motorsport Simulations, LLC.

5.2 Data Usage. When you sign in via iRacing OAuth, we access your iRacing Customer ID and display name to create and maintain your account. We may access additional iRacing data (race results, statistics, telemetry) as authorized by you during the OAuth flow. This data is used solely to provide and improve the Service.

5.3 No Guarantee. We do not guarantee uninterrupted access to iRacing data. Changes to iRacing’s API or policies may affect Service functionality.

6. Virtual Currency (Points)

6.1 No Monetary Value. The virtual currency (“Points”) used within the Service for predictions and picks has no real-world monetary value. Points cannot be exchanged for cash, gift cards, or any form of real currency.

6.2 Not Gambling. The Points system is for entertainment purposes only and does not constitute gambling. No real money is wagered, won, or lost through the Points system.

6.3 Replenishment. Points balances may be automatically replenished at our discretion. We reserve the right to adjust, reset, or remove Points balances at any time without notice.

7. Broadcast & Streaming

7.1 Broadcast Rights. By using the Service’s broadcast tools, you represent that you have the right to broadcast the content you are streaming. Grid Vision provides production tools but does not grant broadcasting rights for any third-party content.

7.2 Overlay Content. Overlays generated by the Service may include Grid Vision branding, sponsor logos, and advertisements. You agree not to obscure, remove, or modify such elements unless authorized by us.

7.3 Recording & Rebroadcast. Broadcasts produced using Grid Vision tools may be recorded, archived, and rebroadcast by us for promotional purposes, unless you explicitly opt out in writing.

8. Sponsorship & Advertising

The Service may display sponsor logos, advertisements, and promotional content within overlays and on the platform. By using the Service, you consent to the display of such content during your broadcasts. Sponsor placements are managed at our discretion.

9. Intellectual Property

9.1 Our Property. The Service, including its design, code, graphics, logos (including the Grid Vision logo), user interface, and documentation, is owned by Grid Vision and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written consent.

9.2 Trademarks. “Grid Vision,” “Grid Vision Live,” and associated logos are trademarks of Grid Vision. You may not use our trademarks without prior written permission. iRacing and related marks are trademarks of iRacing.com Motorsport Simulations, LLC.

9.3 Feedback. If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation.

10. Privacy & Data Collection

10.1 Data We Collect. We collect information you provide (name, email, iRacing ID, profile information) and information generated through your use of the Service (login timestamps, usage patterns, IP addresses). We may also collect technical data about your device and browser for Service optimization.

10.2 How We Use Data. Your data is used to provide and improve the Service, communicate with you, enforce these Terms, and comply with legal obligations. We do not sell your personal data to third parties.

11. Disclaimers

11.1 “As Is” Service. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 No Guarantee. We do not guarantee that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We are not responsible for any damage to your computer system or data loss resulting from use of the Service.

11.3 Third-Party Content. The Service may contain links to or integrate with third-party services. We are not responsible for the content, accuracy, or practices of any third-party services.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GRID VISION, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Grid Vision, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another person or entity; or (d) any content you upload to or transmit through the Service.

14. Termination

14.1 By You. You may stop using the Service at any time. You may request account deletion by contacting us.

14.2 By Us. We may suspend or terminate your account at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, abusive conduct, inactivity, or any behavior we deem harmful to the Service or other users.

14.3 Effect of Termination. Upon termination, your right to use the Service ceases immediately. Sections 4.1 (content license), 9, 11, 12, 13, and 16 survive termination.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Service and updating the “Last Updated” date. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

16. General Provisions

16.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

16.2 Dispute Resolution. Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, except that either party may seek injunctive or equitable relief in court for intellectual property matters.

16.3 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16.4 Entire Agreement. These Terms, together with any applicable privacy policy, constitute the entire agreement between you and Grid Vision regarding the Service.

16.5 Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16.6 Assignment. You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
